IMPORTANT LEGAL NOTICE
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE OR PURCHASING ANY PRODUCT.
THESE TERMS CONTAIN IMPORTANT DISCLAIMERS, EXCLUSIONS OF WARRANTIES, LIMITATIONS OF LIABILITY, EXCLUSIONS OF PUNITIVE AND OTHER DAMAGES, AN INDIVIDUAL ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND LIMITATIONS ON CERTAIN LEGAL CLAIMS.
SINNER USA LLC INTENDS TO EXCLUDE ALL LIABILITY AND ALL CATEGORIES OF DAMAGES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
NOTHING IN THESE TERMS EXCLUDES ANY LIABILITY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.
1. Identity of the Seller and Scope
These General Terms and Conditions ("Terms") govern purchases made directly from SINNER USA LLC ("SINNER," "Company," "we," "us," or "our") through www.sinneramericas.com and any other online service expressly operated by SINNER USA LLC (collectively, the "Website").
SINNER USA LLC acts as an importer, distributor, and retailer of SINNER-branded products in the United States.
SINNER USA LLC is not the original manufacturer of the products. Products are manufactured by independent third-party manufacturers.
SINNER USA LLC is the contracting seller for purchases made directly through its Website. No parent company, holding company, shareholder, member, manager, affiliate, brand owner, licensor, or independent manufacturer becomes a contracting seller merely because of its relationship with SINNER USA LLC.
These Terms do not eliminate any liability independently imposed by applicable law.
Purchases made through independent retailers or marketplaces may be subject to separate terms.
2. Acceptance and Incorporation
By affirmatively accepting these Terms during checkout, account registration, or another legally sufficient acceptance process, you agree to be bound by them.
SINNER must provide a reasonable opportunity to review these Terms before acceptance.
The version accepted at the time of purchase governs that transaction.
SINNER may amend these Terms prospectively without retroactively eliminating accrued contractual or statutory rights.
If a provision conflicts with mandatory law, mandatory law controls.
3. Eligibility and Legal Capacity
Purchasers must be at least eighteen (18) years old and have the legal capacity required to enter into a binding contract in their jurisdiction.
Where applicable law imposes a higher age or different capacity requirement, that law governs.
SINNER may reasonably verify age, identity, payment authorization, and eligibility.
4. Customer Accounts
Customers must provide accurate information and maintain the confidentiality of their account credentials.
Fraud, impersonation, unauthorized access, promotional abuse, and unlawful use of accounts are prohibited.
SINNER may suspend or terminate accounts for legitimate fraud-prevention, security, legal, or contractual reasons.
Account termination does not eliminate accrued obligations or mandatory consumer rights.
5. Products and Product Information
SINNER offers sunglasses, sports eyewear, goggles, helmets, accessories, and other products identified on the Website.
SINNER makes reasonable efforts to provide accurate descriptions, specifications, photographs, pricing, and availability information.
Product images may differ from actual products because of display settings, lighting, manufacturing tolerances, or reasonable product variations.
SINNER may correct errors and update products or specifications prospectively.
No product is represented as suitable for a specific activity, safety purpose, or individual requirement unless expressly stated and appropriately substantiated.
Marketing language, product names, photographs, athlete associations, and general promotional statements do not independently establish safety certifications.
Nothing in these Terms overrides legally enforceable express product representations.
6. Orders and Acceptance
An order constitutes an offer to purchase.
An automated order acknowledgment does not necessarily constitute acceptance.
An order is accepted when SINNER expressly confirms acceptance or ships the relevant product, whichever occurs first.
SINNER may reject or cancel orders where legally permissible because of inventory limitations, manifest errors, payment failure, suspected fraud, shipping restrictions, or material violations of disclosed purchasing conditions.
Required refunds will be provided in accordance with applicable law.
7. Prices, Taxes and Promotions
Prices are stated in U.S. Dollars unless otherwise indicated.
Applicable sales taxes, shipping charges, and mandatory fees are disclosed before purchase completion.
SINNER may change prices prospectively.
Promotions may be subject to disclosed conditions, exclusions, expiration dates, and purchase limits.
SINNER may cancel benefits obtained through fraud or material promotional abuse.
Nothing permits misleading reference prices or deceptive advertising.
8. Payments, Verification and Chargebacks
Customers authorize the charges disclosed at checkout.
Payments may be processed by independent payment service providers.
SINNER may perform reasonable payment, identity, and fraud checks.
SINNER may investigate and contest fraudulent or unsupported chargebacks using lawful evidence.
SINNER reserves all legally available remedies for intentional payment fraud.
Nothing limits legally protected payment disputes, chargebacks, or consumer credit rights.
9. Shipping, Delivery and Risk of Loss
Shipping methods, charges, and estimated delivery periods are disclosed during checkout.
Delivery estimates are not guarantees unless expressly stated.
SINNER will comply with applicable federal and state shipment, delay-notification, cancellation, and refund requirements.
If shipment cannot occur within the applicable promised period, SINNER will provide any required delay notice, cancellation option, and refund.
Title and risk of loss transfer at the time established by the applicable sales contract and governing law.
For consumer shipments, SINNER will not treat mere transfer to a carrier as eliminating responsibility where the applicable contract or law places the risk on SINNER until delivery.
Customers should promptly notify SINNER of missing, damaged, or incorrect shipments so that claims can be investigated.
Failure to notify SINNER within a requested period does not eliminate nonwaivable rights.
10. Thirty-Day Return Policy
SINNER offers a voluntary thirty (30) calendar-day return period for eligible purchases made directly through its Website.
10.1 Return Deadline
Customers must request return authorization and dispatch the eligible return within thirty (30) calendar days after confirmed delivery.
10.2 Conditions
Discretionary returns must be unused, unworn, undamaged, complete, and in original resalable condition.
Original packaging, tags, cases, accessories, protective materials, and proof of purchase must be included.
Return authorization does not constitute final refund approval.
10.3 Exclusions
SINNER may reject discretionary returns involving:
- Used or worn products.
- Scratched, cracked, broken, or otherwise damaged products.
- Modified or altered merchandise.
- Missing original components or accessories.
- Customized or personalized products.
- Properly disclosed final-sale merchandise.
- Counterfeit, substituted, or incorrect returned products.
- Returns received outside the disclosed policy conditions, where lawful.
10.4 Return Costs
Customers pay return shipping for ordinary discretionary returns unless SINNER agrees otherwise.
Original outbound shipping charges are nonrefundable for discretionary returns to the extent permitted by law.
10.5 Refund Processing
SINNER may inspect returned merchandise to verify eligibility.
Approved discretionary refunds will be processed to the original payment method within ten (10) business days after receipt and approval, or sooner where required by law.
No restocking fee applies to eligible standard returns.
10.6 Defective Products
The voluntary return period does not eliminate remedies required by law for defective, misdescribed, or incorrectly supplied merchandise.
10.7 Fraud Prevention
SINNER may investigate return fraud, product substitution, counterfeit returns, false delivery claims, and material misrepresentation.
Discretionary returns may be rejected where fraud is established and rejection is lawful.
11. No Voluntary Product Warranty
11.1 Independent Manufacturers
SINNER USA LLC is an importer, distributor, and retailer, not the original manufacturer.
It does not voluntarily assume independent manufacturers' separate contractual obligations.
11.2 No Additional Commercial Warranty
SINNER USA LLC does not provide a voluntary manufacturer's warranty, extended warranty, accidental damage protection, breakage protection, theft protection, or replacement guarantee.
No additional commercial warranty arises merely from purchase, product registration, customer support, inspection, or goodwill assistance.
Legally enforceable express representations remain unaffected.
11.3 Implied Warranty Disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SINNER USA LLC DISCLAIMS THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, TOGETHER WITH ALL OTHER IMPLIED WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED.
WHERE LAWFUL AND VALIDLY DISCLOSED BEFORE PURCHASE, PRODUCTS ARE SOLD "AS IS" AND "WITH ALL FAULTS."
THIS DISCLAIMER DOES NOT APPLY IN STATES OR CIRCUMSTANCES WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
NOTHING IN THIS SECTION EXCLUDES LEGALLY ENFORCEABLE EXPRESS WARRANTIES OR MANDATORY CONSUMER REMEDIES.
11.4 Physical Damage
SINNER provides no voluntary repair, replacement, refund, or compensation coverage for physical damage unrelated to a legally actionable defect or breach.
Excluded circumstances include scratches, cracks, breakage, bent frames, damaged hinges, impacts, collisions, crushing, improper handling, unsuitable cleaning, chemical exposure, normal wear, deterioration, unauthorized alterations, and accidental damage.
The mere occurrence of damage does not establish a product defect or a right to compensation.
This exclusion does not eliminate liability where damage results from a legally actionable defect or another nonwaivable basis of liability.
11.5 Claim Verification
SINNER may request reasonable proof of purchase, product photographs, product identification, relevant circumstances, and inspection.
Discretionary compensation may be refused where no contractual or legal entitlement exists.
12. Product Use, Warnings and Safety
Customers must use products in accordance with their intended purposes, applicable product instructions, warnings, and specifications.
Sunglasses are not automatically industrial safety glasses, ballistic protective eyewear, or certified occupational protective equipment.
Sports eyewear does not guarantee prevention of eye injury.
Helmets and goggles do not guarantee prevention of head, facial, or eye injuries.
Products must not be used for specialized protection unless expressly designed and appropriately tested or certified for that application.
Lens technologies, including SINTEC, SINTRAST, and SINTRAST+, describe product characteristics and do not independently guarantee accident prevention, improved athletic results, or suitability for every condition.
Products should be inspected before use. Products showing damage or deterioration affecting safe use should not be used.
Users must follow product-specific safety warnings and applicable activity requirements.
13. General Accidents, Injuries and Inherent Risks
Accidents, injuries, and losses can occur during ordinary daily activities, transportation, recreation, work, sports, travel, and other circumstances.
SINNER does not guarantee that its products will prevent accidents, injuries, property damage, disability, or death.
The presence, ownership, purchase, possession, or use of a SINNER product during an incident does not, by itself, establish SINNER's legal responsibility.
To the maximum extent permitted by law, SINNER excludes liability for incidents caused by circumstances not legally attributable to SINNER, including unrelated third-party conduct, improper use, ordinary wear, and external events.
Nothing in this section excludes liability for legally actionable product defects, inadequate warnings, negligence, or other matters where exclusion is prohibited.
14. Website and Digital Services
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ASSOCIATED DIGITAL SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
SINNER DOES NOT GUARANTEE UNINTERRUPTED OPERATION, ERROR-FREE PERFORMANCE, CONTINUOUS ACCESS, OR COMPATIBILITY WITH EVERY DEVICE OR NETWORK.
SINNER may suspend services for maintenance, security, legal compliance, or operational necessity.
Mandatory data-security, privacy, and consumer protection obligations remain unaffected.
15. Comprehensive Exclusion and Maximum Limitation of Liability
IMPORTANT: THIS SECTION APPLIES GENERALLY TO ALL PRODUCTS, PURCHASES, TRANSACTIONS, ACTIVITIES, USES, INCIDENTS, LOSSES, AND CLAIMS. IT IS NOT LIMITED TO SPORTS OR RECREATIONAL ACTIVITIES.
15.1 Maximum General Exclusion
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SINNER USA LLC AND ITS AFFILIATES, PARENT COMPANIES, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND AUTHORIZED REPRESENTATIVES (COLLECTIVELY, THE "PROTECTED PARTIES") DISCLAIM AND EXCLUDE ALL LIABILITY ARISING OUT OF OR RELATING TO ANY PRODUCT, PRODUCT SALE, DISTRIBUTION, DELIVERY, OWNERSHIP, POSSESSION, USE, MISUSE, INABILITY TO USE, WEBSITE ACCESS, TRANSACTION, OR RELATED ACTIVITY.
THIS EXCLUSION APPLIES, WHERE LAWFULLY ENFORCEABLE, REGARDLESS OF WHETHER LIABILITY IS ASSERTED UNDER CONTRACT, WARRANTY, NEGLIGENCE, TORT, STRICT LIABILITY, MISREPRESENTATION, STATUTE, OR ANY OTHER LEGAL THEORY.
NO LIABILITY IS EXCLUDED TO THE EXTENT THAT APPLICABLE LAW PROHIBITS ITS EXCLUSION.
15.2 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROTECTED PARTIES SHALL NOT BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, MULTIPLIED, STATUTORY, OR OTHER DAMAGES, LOSSES, COSTS, OR EXPENSES, EXCEPT WHERE THE RELEVANT EXCLUSION IS PROHIBITED BY LAW.
THIS EXCLUSION INCLUDES, TO THE EXTENT LAWFULLY EXCLUDABLE:
- ECONOMIC OR FINANCIAL LOSS.
- LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES.
- BUSINESS INTERRUPTION.
- INDIRECT PROPERTY LOSS.
- INCIDENTAL OR CONSEQUENTIAL EXPENSES.
- LOSS OF DATA OR DIGITAL ACCESS.
- ACCIDENT-RELATED LOSS.
- THIRD-PARTY CLAIMS.
- OTHER COMPENSATORY OR NON-COMPENSATORY DAMAGES.
15.3 Punitive, Exemplary and Multiplied Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PROTECTED PARTIES EXPRESSLY DISCLAIM AND EXCLUDE ALL PUNITIVE, EXEMPLARY, MULTIPLIED, AND SIMILAR NON-COMPENSATORY DAMAGES, WHETHER ASSERTED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE.
THIS EXCLUSION OPERATES INDEPENDENTLY OF OTHER LIMITATIONS AND APPLIES EVEN IF A PROTECTED PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, BUT ONLY WHERE SUCH EXCLUSION IS LEGALLY ENFORCEABLE.
15.4 Accidents, Personal Injury and Property Damage
SINNER does not voluntarily assume responsibility for any accident, injury, disability, death, property damage, or other loss merely because a SINNER product was involved in an incident.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES EXCLUDE LIABILITY FOR ACCIDENTS, INJURIES, AND LOSSES NOT LEGALLY ATTRIBUTABLE TO THEIR CONDUCT, PRODUCTS, OR BREACH OF AN ENFORCEABLE DUTY.
NOTHING IN THIS SECTION EXCLUDES OR LIMITS LIABILITY FOR PERSONAL INJURY, DEATH, DEFECTIVE PRODUCTS, FAILURE TO WARN, FRAUD, WILLFUL MISCONDUCT, NEGLIGENCE, OR OTHER CLAIMS TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
15.5 No Voluntary Assumption of Additional Liability
No refund, repair, replacement, inspection, customer service communication, settlement discussion, goodwill payment, or voluntary accommodation constitutes an admission of fault or an assumption of additional liability unless expressly and lawfully agreed.
15.6 Maximum Aggregate Liability Cap
WHERE LIABILITY CANNOT BE EXCLUDED BUT MAY LAWFULLY BE LIMITED, THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED PARTIES FOR CLAIMS ARISING FROM A SPECIFIC PURCHASE OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CLAIMANT FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.
FOR CLAIMS ARISING SOLELY FROM WEBSITE ACCESS WITHOUT A PURCHASE, ANY MONETARY LIMITATION SHALL APPLY ONLY TO THE EXTENT LAWFULLY ENFORCEABLE.
THIS CAP DOES NOT APPLY TO NONWAIVABLE PRODUCT-LIABILITY, PERSONAL-INJURY, DEATH, FRAUD, OR OTHER CLAIMS FOR WHICH THE LIMITATION IS PROHIBITED.
15.7 Exclusive Contractual Remedy
For an ordinary contractual claim involving nonconforming merchandise, and only where legally permissible, the customer's exclusive contractual remedy shall be, at SINNER's election, replacement of the affected product or return of the product for refund of the purchase price paid.
This remedy does not apply where it would fail of its essential purpose or conflict with mandatory law.
No exclusive-remedy provision restricts nonwaivable statutory or product-liability remedies.
15.8 Separate and Independent Limitations
Each disclaimer, exclusion, remedy limitation, and damages limitation is intended to operate independently.
If one provision is unenforceable, it shall be restricted or severed to the extent legally permissible without automatically invalidating the remaining enforceable provisions.
15.9 Mandatory Rights
NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR LIMITS ANY LIABILITY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR LIMITED UNDER APPLICABLE FEDERAL OR STATE LAW.
16. Customer Indemnification
To the extent permitted by law, customers agree to indemnify and hold harmless the Protected Parties against third-party claims directly arising from the customer's intentional fraud, unlawful conduct, infringement of third-party intellectual-property rights, or material unauthorized misuse of the Website.
Indemnification may include reasonable legal expenses where legally recoverable.
This provision does not require consumers to indemnify SINNER for its own product defects, negligence, statutory violations, or other liability that cannot lawfully be shifted.
17. Intellectual Property
All trademarks, trade names, logos, designs, images, product content, software, and other proprietary materials are owned by SINNER or their respective licensors.
Customers receive only a limited right to access and use the Website for lawful personal purposes.
Unauthorized commercial reproduction, counterfeiting, impersonation, trademark misuse, and infringement are prohibited.
SINNER reserves all legally available intellectual-property remedies.
Lawful resale, fair use, and other protected conduct remain unaffected.
18. Resale and Commercial Purchases
Consumer sales do not confer authorized-dealer, distributor, franchise, or agency status.
SINNER may impose lawful purchase quantity limits and refuse transactions associated with fraud or material abuse of disclosed sales conditions.
Separate written agreements govern authorized wholesale and distribution relationships.
Nothing restricts lawful independent resale rights.
19. Reviews and User Content
Customers submitting reviews, photographs, videos, or other content represent that they have the necessary rights.
Subject to applicable law and the permissions disclosed when content is submitted, customers grant SINNER a nonexclusive, worldwide, royalty-free license to use submitted content for legitimate business purposes.
SINNER may remove unlawful, fraudulent, infringing, or otherwise prohibited content.
Nothing restricts truthful reviews or other conduct protected by the Consumer Review Fairness Act.
20. Third-Party Providers
SINNER may use independent providers for e-commerce infrastructure, payment processing, fulfillment, delivery, analytics, marketing, fraud prevention, and customer support.
SINNER does not voluntarily assume independent providers' separate contractual obligations.
Third-party services may be subject to their own terms.
Nothing excludes responsibility that applicable law independently imposes upon SINNER.
21. Privacy and Communications
Personal information is handled according to SINNER's Privacy Policy and applicable law.
Transactional communications may include order confirmations, delivery notices, account notices, and product safety information.
Marketing communications are subject to applicable consent and opt-out requirements.
Separate consent will be obtained where required for automated marketing calls or messages.
22. Force Majeure
To the maximum extent permitted by law, SINNER is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government restrictions, major transportation interruptions, and extraordinary infrastructure failures.
Mandatory cancellation, shipment, and refund rights remain unaffected.
23. Informal Dispute Resolution
Before commencing arbitration, the claimant must send written notice describing the dispute, relevant transaction, and requested relief.
Notices to SINNER may be sent to legal@sinneramericas.com, provided that this address is active and monitored.
The parties will attempt good-faith informal resolution for thirty (30) days.
This requirement does not prevent protected regulatory complaints, emergency relief, or action necessary to preserve legal rights.
Applicable limitation periods shall be tolled during mandatory informal resolution where necessary to avoid forfeiture of timely claims.
24. Binding Individual Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT MAY REQUIRE YOU TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT.
Except for claims legally excluded from predispute arbitration, disputes arising from accepted Terms, purchases, or the contractual relationship with SINNER shall be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules.
The Federal Arbitration Act governs the arbitration agreement.
The arbitrator may award individual relief available under applicable substantive law.
Arbitration costs, venue, and procedures shall comply with applicable AAA consumer rules and mandatory law.
Eligible small claims court cases may proceed in small claims court.
Claims that cannot lawfully be compelled to arbitration remain outside this agreement.
Customers may opt out of arbitration by sending written notice to legal@sinneramericas.com within thirty (30) days after first accepting these Terms.
The opt-out notice must reasonably identify the customer and state the decision to opt out.
Opting out does not affect the customer's ability to purchase products.
25. Class Action and Representative Proceeding Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES SUBJECT TO ARBITRATION SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ARBITRATION IS WAIVED WHERE LEGALLY ENFORCEABLE.
THIS WAIVER DOES NOT EXTINGUISH NONWAIVABLE PUBLIC INJUNCTIVE RELIEF OR OTHER MANDATORY RIGHTS.
26. Jury Trial Waiver
For claims not subject to arbitration, the parties waive trial by jury only where such waiver is legally valid and enforceable.
27. Limitation Period for Certain Claims
To the extent permitted by law, claims arising solely from ordinary contractual purchase disputes or Website-service agreements must be commenced within one (1) year after accrual.
This limitation does not apply where contractual shortening is prohibited or where mandatory statutes of limitation govern.
Applicable product-liability, personal-injury, death, fraud, and other nonwaivable claims are not shortened by this provision.
28. Governing Law and Jurisdiction
These Terms are governed by Nevada law, except where federal law or mandatory law of another jurisdiction controls.
For disputes not subject to arbitration, the parties consent to competent courts in Clark County, Nevada, where legally permissible.
Mandatory consumer forum protections remain unaffected.
29. Business-to-Business Transactions
For legally classified commercial transactions, and to the fullest extent permitted by applicable law, SINNER disclaims implied commercial warranties, excludes consequential commercial losses, and limits contractual remedies as expressly provided in these Terms or a separate written agreement.
A consumer transaction shall not be treated as commercial merely to eliminate mandatory consumer rights.
30. No Partnership or Agency
No purchase or Website interaction creates a partnership, joint venture, employment relationship, franchise, or agency relationship.
No customer or third party may bind SINNER without express authority.
31. No Third-Party Beneficiaries
Except for expressly identified Protected Parties to the extent legally enforceable, these Terms create no contractual rights in unrelated third parties.
32. No Waiver
Failure or delay in exercising a contractual right does not constitute a waiver.
Any waiver is limited to the specific circumstances for which it is legally effective.
33. Severability
If any provision is held invalid or unenforceable, it shall be limited or severed to the maximum extent permitted by law.
Remaining enforceable provisions shall continue in effect unless applicable law requires otherwise.
Arbitration-related provisions remain subject to their specific severability requirements.
34. Entire Agreement
These Terms, the accepted order, the applicable Return and Refund Policy, and other lawfully incorporated policies constitute the relevant agreement.
Mandatory law and legally enforceable transaction-specific representations prevail where required.
Separate signed commercial agreements govern their expressly covered matters.
35. Assignment
SINNER may assign contractual rights and obligations in connection with a lawful merger, restructuring, acquisition, or sale of relevant business assets.
No assignment eliminates mandatory consumer rights.
36. Survival
Provisions concerning accrued obligations, intellectual property, lawful liability limitations, indemnification, dispute resolution, and other provisions intended by their nature to survive shall remain effective to the extent permitted by law.
